How much does it cost to start an LLC in Nevada?
Here are the following costs to consider:

The Entertainment Capital of the World is famous for its casinos, nightlife, and extravagance. That said, forming an LLC in Nevada could be a good idea.

The question is, how much would an LLC cost you in Nevada? Read on to see how much you'll need.

How do you plan to form your LLC?

Nevada LLC One-Time Filing Fees

In most states, you just have to file one business formation document. But in Nevada, you must file three:

One-Time FeesCost
Articles of Organization$75
Initial List of Managers or Members$150
State Business License$200
Total$425

Learn more about each fee below.

Nevada Foreign LLC
If your LLC is already established in a different state and you want to expand your business to Nevada, you must register it as a foreign LLC. The filing fee is $75.[1]

Nevada LLC Articles of Organization

Cost: $75[1]

To form a limited liability company in Nevada, you must submit the Articles of Organization to the Secretary of State.

A Nevada LLC's Articles of Organization contain the following information, among other details:[2]

  • Business name (must end with LLC, Ltd., or similar abbreviation)
  • Registered agent name and address
  • Certificate of Acceptance of the registered agent
  • Management type (manager or member-managed)
  • Name and address of each manager/member

You can submit the Articles of Organization online, in person, or by mail. There's a 2.5% convenience fee for LLC documents filed online. Nevada accepts all major credit cards.[2]

Manager vs. Member-managed
A manager-managed LLC means only the designated manager is responsible for the daily operations. Alternatively, an LLC could be member-managed so all owners share equal responsibility in managing the business.

Nevada LLC Initial List

Cost: $150[1]

An initial list of managers or members must be attached to the Articles of Organization. It contains the name, address, and position of the LLC's managers or members.

Single-member LLCs don't need to list directors or secretaries on the Initial List of Managers or Members. List your name as the sole owner, then leave the rest of the positions (President, Secretary, Treasurer, and Director) blank.

What if the LLC's manager or member resigns?
A Nevada LLC's manager or managing member can resign at any time. Just file the Resignation of Manager or Managing Member form with the Secretary of State, along with the $75 fee.[1]

Nevada LLC State Business License

Cost: $200[3]

A state business license grants you the privilege to do business in Nevada. It must be filed with the Articles of Organization and the Initial List of Managers or Members.

All three documents must be paid in one transaction. You can file online, in person, or by mail.

Nevada LLC Annual Fees

Once you've formed a Nevada LLC, set aside a budget for annual expenses. At a minimum, these are:

Annual FeesCost
Annual List of Managers or Members$150
Business Permits and LicensesAt least $200
Business Taxes10% to 37% of taxable income
Registered Agent ServicesUp to $400+

Each of these fees is discussed further below.

Nevada LLC Annual Report Fee

Cost: $150[1]

Nevada's annual report form is called the Annual List of Managers or Members. It contains the updated name, address, and position of the LLC's managers or members. Even if those details haven't been changed, you must still submit this form.

The Annual List is due on the last day of your LLC's anniversary month. So if your LLC was formed on July 2024, its first Annual List is due on July 2025. You can file it as early as 90 days before the due date.

You can file the Annual List by mail, but it's quicker to do online. Log in to your Nevada Silverflume account, then review the LLC's manager or member details. Update details that have changed in the past year.

Avoid Late Fees and Dissolution
The Secretary of State charges a $75 late fee for annual reports filed after the due date.[1] Your LLC may also be closed if you continue to ignore this requirement. If this happens, you'll have to pay an additional $300 to re-open the LLC.[1]

Nevada LLC Business Permits and License Fees

Cost: At least $200[3]

Your Nevada LLC's state business license must be renewed each year for $200. If you file online, you can download the new license immediately.

However, the state business license is only free to download within 60 days of filing. After that, you'll need to pay for copies.

Additionally, your LLC may need to get local business permits. If your LLC does business in two cities, you may need to get a separate license for each city.

The local business permit fees vary per city and could be renewable yearly. In Henderson, Nevada, most business parts are renewable semi-annually.

Nevada LLC Business Taxes

Cost: 10% to 37% of taxable income[4]

Nevada doesn't have state income taxes. However, LLC members must still pay federal income taxes.

2024 Federal Income Tax Rates:[4]

Tax RateTaxable Income
10%$0 to $11,600
12%$11,601 to $47,150
22%$47,151 to $100,525
24%$100,526 to $191,950
32%$191,951 to $243,725
35%$243,726 to $609,350
37%Over $609,350

Additionally, self-employed LLC members must pay the 15.3% federal self-employment tax.[5] This tax covers Social Security and Medicare contributions.

Write off expenses.
The fees that you'll incur when forming an LLC can be claimed as tax deductions. You can write off the following expenses:

Nevada LLC Registered Agent Fee

Annual Cost: $0, or $100-$300/yr

In Nevada, you must have a registered agent to receive business and legal documents for your LLC. This includes government notices, tax forms, and annual reporting forms.

You can technically be your LLC's registered agent—as long as you're at least 18 and have a physical street address in Nevada. You must also be available to receive documents during business hours.

However, your address will be public record. So many LLCs like to hire a registered agent service to keep their personal details private. These services usually charge $100-$300 per year to be your registered agent.

Get your LLC registered agent's consent.
You'll need to get a person's consent before appointing them as a registered agent. The consent form is attached to the Articles of Organization form.

Nevada LLC Other Optional Fees

While the Nevada LLC fees below are optional, some are unavoidable depending on your business needs. For example, obtaining a Certificate of Good Standing is often necessary when opening a business bank account.

What's your main concern when considering the cost of forming an LLC?

Nevada LLC Expedited Services Fee

Cost: $25 to $1,000

Nevada offers expedited services to process your LLC application faster. These services are also available if you need a document processed quickly, like a Certificate of Correction or a Certificate of Amendment.

Fees vary depending on how quickly you want your forms reviewed:[1]

  • 24 hours: $25 to $125
  • 2 hours: $500
  • 1 hour: $1,000

How long does it take to form an LLC in Nevada?
The Nevada Secretary of State typically takes 3 to 6 weeks to process the Articles of Organization filed by mail. You can pay for expedited services to process your LLC application quickly.

Nevada LLC Operating Agreement Fee

Cost: $0, or up to $500+

LLCs in Nevada are not required to have an operating agreement. However, it's recommended because it defines important rules and regulations that all members must follow.

An LLC operating agreement contains the following:

  • The roles and responsibilities of each member
  • How new or departing members will be treated
  • How business profits and losses will be divided

Ideally, you should already have a signed Operating Agreement before forming an LLC in Nevada. But if your LLC is already formed, you can always draft it yourself after.

Alternatively, an LLC attorney might charge you a $500 flat fee for a standard operating agreement. If you have more complex details, the cost could be higher.

Save money with a free operating agreement template.
You can write your own with free online operating agreement templates. If you want a professional to create it for you, LLC services usually offer this as a part of their packages for much less than attorney costs.

Employer Identification Number

Cost: $0, or $50 to $99

Any LLC with more than one member or with employees must have an EIN, regardless of how it's taxed. This is a unique nine-digit number assigned by the Internal Revenue Service (IRS) to identify a business entity for tax-related purposes.

You can just apply for an EIN for free on the IRS website. But if you'd like an LLC service to process it for you, you can do so for a small fee. Here are some providers that do this and their pricing:

Single-member LLCs in Nevada don't require an EIN, but it's almost essential in practice. For instance, you'll need one if you hire employees or want to open a business bank account.

Does my LLC need a bank account?
Yes. Separating your LLC's finances from personal assets is a requirement of liability shielding. Use a separate bank account to accept payments and pay business expenses to prevent piercing the corporate veil .

Beneficial Ownership Information Report

One-Time Cost: $0, or up to $149

The Beneficial Ownership Information (BOI) is a one-time report that must be submitted to the Financial Crimes Enforcement Network (FinCEN) within 90 calendar days of your LLC's formation.[6]

It includes information about the LLC's beneficial owners, including name, birth date, and address.

FinCEN doesn't charge a fee to submit your BOI report. But you can pay an LLC service to process it for you and save yourself the hassle:

You're considered a beneficial owner if you own 25% or more of the ownership interests in your LLC. Or if you exercise substantial control over the LLC.

Nevada LLC Name Reservation Fee

Cost: $25[1]

If you've already got a business name but you're not yet ready to form an LLC, you can reserve your desired name first. Paying the name reservation fee will prevent others from using that name for 90 days.[7]

Do an LLC name availability search on Silverflume before reserving a business name. Don't forget to review Nevada's detailed list of naming regulations to prevent your reservation from getting rejected.

Websites for growing businesses.
Check online to see if your business name is available as a web domain. Even if you don't plan to make a business website today, you may want to buy the URL to prevent others from acquiring it.

Nevada LLC DBA Fee

Cost: Typically $25 per county

A trade name (also known as "Doing Business As" or DBA) allows your LLC to operate under a name different from its legal name registered with the state.

Some LLCs use a DBA for branding purposes. It's also ideal if you want to use a name without "LLC" at the end. Make sure the DBA you want is still available as the registration fee is non-refundable.

In Nevada, you must register a DBA in each county your LLC does business in. The DBA is typically renewable every five years.

A Trade Name Registration is not the same as a Trademark Registration.
A trade name registration allows a business to operate under a name different from its legal name. Meanwhile, a trademark is an intellectual property protection that legally protects your brand name, logo, or slogan at the national level.

Nevada LLC Certificate of Correction Fee

Cost: $175[1]

After your Nevada LLC application is approved, review all the details of the Articles of Organization carefully.

If there are errors, like a misspelled business name or incorrect address, correct them as soon as possible by filing a Certificate of Correction.

Nevada LLC Certificate of Amendment Fee

Cost: $175[1]

Your Nevada LLC's Articles of Organization contains specific details about your business. Should these details change, you must submit a Certificate of Amendment to the Secretary of State.

File a Certificate of Amendment if you:

  • Add, remove, or change an LLC member or manager
  • Update your LLC's business address
  • Modify your LLC's stated business activities

Statement of Correction vs. Certificate of Amendment
A Certificate of Correction is for fixing mistakes in initial filings. Meanwhile, a Certificate of Amendment updates key details as the LLC evolves.

Nevada LLC Change of Registered Agent Fee

Cost: $60[1]

If your registered agent's details change, submit a Change of Registered Agent form to the Secretary of State. Changes include the registered agent's name and address.

There's a different form for registered agents who want to resign from the role. It costs $100 and must be filed by the resigning agent.[1]

Change of Agent vs. Certificate of Amendment
In Nevada, the certificate of amendment is used to change the business name, business purpose, and other details. The change of agent form is focused solely on changes regarding the registered agent.

Nevada LLC Certified Copy Fee

Cost: $30 + $2 per page[1]

Certified copies of documents verify that your LLC is legitimate and that its details are accurate.

You might need these for circumstances like opening a business bank account or expanding your LLC in another state.

Additionally, some LLCs keep certified copies of their initial Articles of Organization and Certificate of Amendment (if any) for recordkeeping purposes.

If you just want copies of your business documents, you don't have to pay the $30 certification fee.

Nevada LLC Certificate of Good Standing Fee

Cost: $50[1]

A Certificate of Good Standing, also known as a Certificate of Existence, is an official document by the Nevada Secretary of State. It verifies that your LLC is updated with all state filings and has paid all its state fees and taxes.

You might need a Certificate of Good Standing to:

What to Do if Your LLC is in Bad Standing
Contact the Nevada Secretary of State to ask why your LLC is in bad standing. The most common reasons include:

Pay any outstanding fees and penalties. You might also need to file the Reinstatement Form along with the $300 filing fee.[1]

Business Website Domain Fee

Annual Fee: $10 to $20

A website domain and social media presence provide dedicated online spaces for your business. It's essential for marketing, customer engagement, and brand visibility in today's digital world.

Even if you aren't planning to build a business website now, you could still buy the domain name. This will prevent others from using your LLC's name as a web address.

Beware of website domain squatters.
Domain squatters often monitor newly registered LLC names. They purchase corresponding website domains and then resell them at significantly higher prices.

Business Insurance Premiums

Cost: Varies

Most businesses with one or more employees in Nevada must have workers' compensation insurance.[8] Nevada does not have a state fund for workers' compensation, so you must self-insure or get it from a private company.

You might also be required to get other types of insurance:

Bottom Line

In summary, it costs at least $425 to form an LLC in Nevada. You must submit three documents, namely:

Annual expenses include the Annual List for $150 and the state business license for $200.

The total cost will increase depending on the additional services, documents, and licenses your LLC needs. Ultimately, setting aside an extra budget for unexpected fees is never a bad idea.
